The website www.squad-nutrition.fr is an online sales site for products and services related to well-being which are offered by the company Squad Nutrition (hereinafter “ Squad Nutrition ”, “ we ” or “ us ”).

Before using the Site and its services, the User is invited to read these general conditions of use (hereinafter “ GCU ”) governing the use of the Site and its services by any natural person accessing it in a private or professional capacity (hereinafter “ User ”). If the User does not agree with all or part of these GCU, he is requested not to use the Site and its services.

These T&Cs are accessible at any time on the Site and will prevail over any other version or any other contradictory document where applicable.

  1. ACCESS TO THE SITE AND SERVICES


Access to the Site and its services is technically possible twenty-four (24) hours a day, seven (7) days a week, subject to the occurrence of a case of force majeure, breakdowns or maintenance or update operations necessary for the proper functioning of the Site and its services, without this list being exhaustive.

In any event, the User acknowledges having the skills and means necessary to access and use the Site and its services. As such, the User must have a computer, mobile phone, tablet or any other equipment with an Internet connection, the settings of which allow the Site and its services to function properly.

• contact Squad Nutrition for any request for information via the “Contact us” tab accessible on the Site, if he cannot find the answer to his question directly on the Site;


• contact Squad Nutrition for any partnership request (ambassador, reseller) via the “Contact us” tab accessible on the Site.


  1. The User can also benefit from a free service called "advice" by asking the Chat-bot "Céline" on the Site, without needing to place an order on the Site. The use of this service does not entail any obligation to purchase on the Site.

  1. GENERAL OBLIGATIONS OF THE USER

• to use the Site and its services for commercial purposes, advertising, prospecting or for any other form of solicitation not authorized by Squad Nutrition ;


• any behavior likely to harm the integrity, operation or security of the Site and its services;


• any intrusion or attempted intrusion into Squad Nutrition ’s infrastructure, information systems, servers and databases ;


• any collection, extraction, modification, alteration, deletion, storage or other use, in any way whatsoever, of the contents, information and data available on the Site;


• and more generally, any act likely to infringe the rights and interests of Squad Nutrition or third parties.


In the event of a breach of these T&Cs, the Site's T&Cs (if applicable) and/or the law in force, including any unauthorized use of the Site and its services noted by Squad Nutrition , the latter reserves the right to terminate its contractual relationship with the User, automatically, without notice or compensation, as well as to block any future access by the User to all or part of the Site and its services, including their account on the Site where applicable.


  1. INTELLECTUAL PROPERTY


The Site and all the elements that compose it or that are made available to Users, in particular the brands, logos, photographs, programs, source codes, object codes, data, databases, animated or non-animated images, sounds, drawings, graphics, videos, texts, layout, appearance, structure, as well as any other element not linked to hypertext links to third-party sites, are the property of Squad Nutrition or are the subject of a license granted to it by any holder of intellectual property rights.

All these elements are subject to the provisions of French and international regulations applicable to intellectual property, in particular the intellectual property code and, consequently, are protected against any use not authorized by the law in force or these T&Cs under penalty – in the event of failure – of legal action.

Squad Nutrition grants the User a personal, non-exclusive and free right to consult and use the Site and its services for their own use and within the strict framework of the operations authorized under these T&Cs.

Subject to the usage rights granted to the User by Squad Nutrition , the use of the Site and its services does not imply any license or transfer of rights relating to the elements of the Site to the User. In particular, any copy, reproduction, representation, adaptation, modification, distribution in whole or in part of the Site, as well as all or part of its content, by any process whatsoever and on any medium whatsoever, is illegal without the prior, express and written authorization of Squad Nutrition or the holder of the intellectual property rights.

Failure to comply with these provisions, particularly for commercial exploitation purposes, may be subject to prosecution on the basis of an action for infringement and/or an action for unfair competition and/or parasitism on the part of the holders of the rights in question. This is without prejudice to the other rights of Squad Nutrition , in particular the right to obtain compensation for damages suffered.


  1. RESPONSIBILITY


The Site is provided to the User free of charge, with the exception of the products and services sold on it. Although Squad Nutrition strives to provide a reliable Site, Squad Nutrition does not guarantee that it is free from errors, inaccuracies or omissions, periods of unavailability, faults or defects. Consequently, the User acknowledges that he or she uses the Site and its services, as well as the content published there, under his or her sole responsibility.

The information available on the Site is provided for informational purposes only and cannot in any way replace the therapeutic advice, prognosis or diagnosis of a healthcare professional, nor exempt you from consulting a healthcare professional if necessary. Any decision made based on the information available on the Site will be solely the responsibility of its author. Squad Nutrition is therefore in no way responsible for these decisions, directly or indirectly, nor for any damages, direct or indirect, that may result from them.


Furthermore, Squad Nutrition cannot be held responsible for any direct or indirect damages which may result from:


• problems, failures, incidents or incompatibilities of the Site with the User's equipment;

• vulnerability, malfunctions or contamination of the User's equipment during or after browsing the Site,

• impossibility of access or poor conditions of use attributable to the User's equipment, the internet service provider, internet network congestion or any other reason external to Squad Nutrition ;

• electronic and telephone communications costs incurred by the use of the User's equipment and which are the exclusive responsibility of the User and will not be borne by Squad Nutrition ;

• any consequences which may arise from the content of third-party websites to which hypertext links which may be present on the Site refer;

• any indirect damages suffered by the User;

• any damage suffered by the User or a third party resulting from use of the Site and services that do not comply with these T&Cs, the Site's T&Cs or the law in force;

• any failure to comply with the obligations set out in these T&Cs which is due to or originates from a fortuitous event or a case of force majeure as defined by Article 1218 of the Civil Code.


In the event that Squad Nutrition is held liable for damage not provided for in this article, its liability will be limited to certain, real and direct damages, in particular loss of earnings, loss of profit, loss of opportunity or damages resulting from the loss of data caused by the inability to use the Site and its services.


  1. HYPERTEXT LINKS


The Site may include hyperlinks to external sites or sources, other than those published by Squad Nutrition . To the extent that Squad Nutrition cannot control these external sites and sources, Squad Nutrition cannot be held responsible for the availability of these external sites and sources, and thus declines all responsibility for the content, advertising, products, services or any other material available on or from these external sites or sources. Also, the decision to activate hyperlinks belongs exclusively to the User. Squad Nutrition may, at its sole discretion, accept or reject any request made to it for this purpose. Squad Nutrition is under no obligation to accept such a request, nor to provide any reason for rejecting such a request if applicable.


  1. VALIDITY OF THE T&Cs


Any change in applicable law or any decision of a competent court invalidating one or more clauses of these T&Cs shall not affect the validity of the entirety of these T&Cs. Such a change or decision shall in no way authorize the User to disregard the valid provisions of these T&Cs.


  1. MODIFICATION


These T&Cs are precisely dated and may be modified and updated by Squad Nutrition at any time, particularly in the event of changes to the Site.

The applicable T&Cs are those published on the Site at the time the User accesses the Site. Consequently, the User is invited to consult the T&Cs each time they access the Site.

This version of the T&Cs replaces all previous versions.


  1. TERMINATION OF THE SITE


Squad Nutrition reserves the right to temporarily or permanently interrupt access to all or part of the Site, particularly in the event of cessation of the activity linked to the provision of the Site or in the event of collective proceedings.


  1. ASSIGNMENT


Subject to applicable law, the User agrees that these Terms of Use binding them to Squad Nutrition may be assigned, transferred or contributed in any way whatsoever. In the event of a transfer of the company to a third party, these Terms of Use binding the User to Squad Nutrition will be automatically transferred to the assignee.


  1. LANGUAGE


These T&Cs are written in French. In the event that they are translated into one or more languages, only the French text shall be authoritative in the event of a dispute.


  1. APPLICABLE LAW / JURISDICTION


These T&Cs and the operations resulting from them are governed, interpreted and applied in accordance with French law.

In the event of a dispute relating to their interpretation or execution, Squad Nutrition and the User will seek, before any legal action, an amicable agreement and will communicate to each other all necessary information for this purpose.

The User is informed of the possibility of resorting, in the event of a dispute, to a conventional mediation procedure or any other alternative method of dispute resolution. In accordance with the provisions of the Consumer Code concerning the amicable settlement of disputes, Squad Nutrition adheres to the E-commerce Mediator Service of the “NotreAccord Consommation” Mediation Center, whose contact details are as follows:

After prior written action by the User towards Squad Nutrition , the Mediator Service may be contacted for any consumer dispute that has not been resolved. To find out how to contact the Mediator, the User is invited to access the following page: https://mediation-consommation.notreaccord.com

The User may also submit any complaints on the dispute resolution platform set up online by the European Commission at the following address: http://ec.europa.eu/consumers/odr/ . The European Commission will transfer the User's complaint to the competent national mediators notified.

In the absence of an amicable agreement between Squad Nutrition and the User within two (2) months from notification of the dispute to the other party, the parties may turn to the competent jurisdiction.
